Not long after Asian’s financial turmoil in 1998, a group of lawyers from three respectable law firms in Malaysia mutually decided to form a strategic partnership. FARIZ HALIM & CO (FHC) was initially spearheaded by three practitioners in its early stage. The firm was formed with the intention of focusing viable resources in handling all legal matters of esteemed clients.

Our strength have been known for the quality of legal advice, ability to find the most innovative solution because we believe by listening to our clients, take the time to learn about their business needs and understand their business environment.

We believe in equipping our office and our practitioners with the latest technology and systems to enable FHC to leverage its services to the fullest. We appreciate the current trend of connectivity and for this reason all of our partners and lawyers are contactable via e-mail.

Our mission in the new millennium and as a growing law firm, is to be a strategic business partner with each of our client and form teams with companies globally and across the borders. Currently, we are in the midst of preparing final agreement with our affiliate foreign law firm to cooperate on a joint venture with FHC to undertake cross-border transactions, international investment, trade and finance.

With cooperation from foreign law firms from UNITED KINGDOM, UNITED ARAB EMIRATES, ASEAN COUNTRIES and also their representative offices in SINGAPORE and AUSTRALIA, we have distinctive edge on the global legal perspective. Apart from that, we also advise state governments, municipal councils, statutory bodies, major Malaysian corporations, local banks and financial institutions.

FHC: OUR EXPERTISE

ISLAMIC BANKING
FHC offers documentation for financing facilities based on Shariah principles as an option to cater for the asset acquisition and working capital requirement, which are as follows: -


Bai’ Bithaman Ajil
A medium to long term financing facility for the purchase of fixed asset on a deffered payment concept.

Murabahah
A short term facility for working capital requirement where customer buys raw material on behalf of the Bank and Bank will sell to the customer at cost plus a mark-up.

Bai’ Istisna
The facility serves as working capital for project financing or any construction of plant or other asset.

Bai’ Al-Dayn
The purchase of debt or debt instrument at a discount to alleviate short-term cash flow.

Bai’ Al-Inah
An unsecured financing facility based on deffered payment sale specially designed for customer who do not have an underlying asset.

Al Ijarah
A contract in which the lessee is given the benefit to utilize the asset for the rental paid.

Ijarah Thummalbai’
A contract in which a specific asset is rented out with a view to transfer ownership to the hirer upon full payment of the rental. Better known as Hire Purchase.

Kafalah Bank Guarantee
A Bank guarantee which act as surety to a third party on payment, performance, tender and supplier on the customer.

Wakalah Letter of Credit
Effectively a Documentary Credit to facilitate trade. The Bank acts as an agent to customer to facilitate the smooth flow of document and payment.

CONVENTIONAL BANKING
Inter alia, conventional financing facilities are also available for a wide range of needs. These would cover for infrastructure, maritime and high-technology sectors with items like term loans, leasing and industrial hire purchase asset acquisitions, revolving credit facilities for working capital. In addition, various forms of guarantee and performance bond are also available.
The types of financing offered are: -
Project Finance
The provision of medium to long term financing for infrastructure, maritime and high technology projects where repayment generated by the project. The financing can either be on a non-recourse or limited recourse basis.

Structured Finance
The provision of short to long term financing to infrastructure, maritime and high technology projects where the repayment is based on the assessment of the project as well as the financial strength of the corporate borrower and the implementation of special financing programs.

Contract Finance
The provision of short term to long term financing to contractors awarded contracts to construct and complete infrastructure, maritime and high technology projects where the repayment rely on the performance capability of the contractor and also the financial strength of the contract provider.

Corporate Finance
The provision of corporate, project & financial advisory services, the arrangement and raising of total financing requirement, the underwriting of such financing and the submission of debt and equity issue proposals for infrastructure projects to Securities Commission (SC) and also the trading of such debt instruments at the primary level. It also involves other fee-based activities such as placement of debt and equity issue, financial, capital and corporate restructuring, asset securitization, mergers and acquisitions and project feasibility studies. The underwriting exposure is strictly temporary until placement to final investors.

Revolving Credit
The revolving credit is normally to cater to the working capital requirements of the company.

Industrial Hire Purchase
To finance the purchase of vehicles and equipment-related to maritime-related activities.
